关于Oracle并购PeopleSoft的一些分析和八卦

Oracle并购PeopleSoft续。

1。创业的目的。

之前我这个题目谈的是管理层对公司的控制,但是后来我发现,事实跟我最初的想象有出入。

两个月前,Oracle董事会炒掉了前任的CEO,坚决反对Oracle收购的Craig Conway,由创始人之一兼现任主席Dave Duffield接手,当时他对PeopleSoft的员工说,我回来不是卖掉公司的。虽然Dave跟Oracle的关系也一向不好,但是,他在今年年初刚卖过自己合办的另一家公司,而且,在Conway掌管PeopleSoft并且坚定反对收购的时候,媒体也经常报道说,仁科的董事会暗示如果Oracle提出合适的价格,可以商谈被收购。所以,当炒掉Craig Conway由Dave Duffield接任的时候,媒体普遍认为是为了商谈并购事宜。现在,PeopleSoft,他自己首创的公司,被卖掉了。耐人寻味的是,PeopleSoft的新闻稿上说话的并不是他,而是一个叫做George Battle(这个名字是不是很切题?)的人,这个Mr. Battle是PeopleSoft Transaction Committee(交易委员会?)的主席,而交易委员会是隶属于董事会的。

Duffield是一个商人,商人是看ROI的。这个价格划算,就卖掉了。他并不会考虑卖掉对公司的影响,而只会考虑对自己的收益:FT评论说,Oracle现在所出的价格实际上高于PeopleSoft的实际价值,所以,对于PeopleSoft那些61%投票赞成并购的股东以及Dave本身而言,投资获得了收益,这就够了。但对于PeopleSoft的其他创始人,管理层和11,250名雇员以及那些忠实的用户来说,这是一个悲剧。

2。这场交易对各方的影响。

如上所述,PeopleSoft基本上完了。很明显,即使Oracle表示会继续支持PeopleSoft和JDE的产品而且还会继续推出PeopleSoft 9. 但对于任何一个这样的公司来讲,对两套不同的平台和应用进行开发、销售、实施和服务是非常不明智的。Economist的评论说,What are the benefits of a combined Oracle and PeopleSoft? For the acquired company, there are none: it can expect a slow death of asphyxiation by its new owner. Indeed, when Oracle first made its offer last year, its executives openly proclaimed that the purpose of the deal was to acquire PeopleSoft’s customer relationships, not its technology.对于PeopleSoft来说,接下来的就是等死了。

对于Oracle来说,从最开始提出敌意收购的时候,Larry Ellison就讲得很清楚了,我们要的就是客户。PeopleSoft的网站上说,在150个国家里,PeopleSoft共拥有超过25个行业12,750家客户。但是,最终的受益者只有一个,就是SAP。Economist还犀利地分析了原因:It stood to benefit in any outcome: if the deal happened, customers being forced to migrate to Oracle systems might instead choose SAP; if PeopleSoft had remained independent, it would have been weakened by an uncertain future; and the longer the drama took to play out, the more SAP could use the uncertainty to win customers.也就是说,你收购也好不收购也好,闹得越大对我越好,反正不管怎么样,肯定是赚定了。

3。这场交易对市场的影响。

洗牌再次开始。还是我在上面一篇中提到的,整合、合并,最终只会剩下几个寡头。
附上Economist的评论,”The sums involved are not enormous, but the takeover is emblematic of a shift towards consolidation in the industry for software used by large corporations to integrate their accounts and operations. This comes at a time when many are saying that the information-technology industry is maturing from a racy and radical adolescent into slower-paced middle age. PeopleSoft belonged to the past, the feeling went; the days of small, independent software shops are drawing to a close. The company found that in the courtroom, as among the companies that use its products, the view that software Davids ought to be protected from less innovative Goliaths seems anachronistic. The takeover wasn’t pretty, but more such acquisitions are likely in the future.”

另外,Larry Ellison说,我们还将寻求更多的并购。

4。其他。

Oracle的财务顾问是瑞士信贷第一波士顿,而PeopleSoft的财务顾问是花旗银行和高盛。

5。其他八卦。

PeopleSoft的前任CEO,Craig Conway,之前是Oracle的员工,是Larry Ellison的手下,并且,最后因为Oracle内部的争斗离开Oracle转投PeopleSoft, 所以,他成了Larry Ellison的死对头。在宣布收购之后的一次华尔街分析员见面会上,Larry Ellison对华尔街的分析员说,如果他现在手中有枪,他可以保证Carig Conway的宠物狗没事,但不能保证他本人没事。作为反击,Carig Conway带着他的狗,出席一次用户会议,人和狗都穿着防弹背心。而Craig Conway被解雇的原因,其实就是因为他坚持反对Oracle的收购。而最终同意收购并且发表声明的所谓由独立董事组成的PeopleSoft交易委员会主席,叫做A. George “Skip” Battle,翻译过来就是,越过战场,不再战斗了,屈服了。
